Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Jibu AI, operated by PayHero Kenya (“we”, “us”, or “our”). By creating an account, using our dashboard, API, or embeddable widget, you agree to these Terms.

1. The Service

Jibu AI is a retrieval-augmented generation (RAG) platform that allows you to upload documents, configure AI chat agents, and deploy them via a hosted widget or API. We may modify, suspend, or discontinue features of the Service at any time with reasonable notice where practicable.

2. Eligibility and accounts

You must be at least 18 years old and have the authority to enter into these Terms on behalf of yourself or your organization. You are responsible for maintaining the confidentiality of your account credentials, project keys, and API secrets. Notify us immediately if you suspect unauthorized access.

3. Acceptable use

You agree not to use the Service to:

Upload content you do not have the right to use or distribute
Generate or disseminate illegal, harmful, deceptive, or infringing material
Attempt to bypass security controls, scrape the platform, or abuse API rate limits
Reverse engineer, resell, or sublicense the Service without written permission
Process sensitive personal data without appropriate legal basis and safeguards

We reserve the right to suspend or terminate accounts that violate these rules.

4. Your content

You retain ownership of documents, prompts, and other content you submit (“Your Content”). You grant us a limited license to host, process, and transmit Your Content solely to provide and improve the Service. You represent that you have all necessary rights to Your Content and that its use through Jibu AI will not violate third-party rights or applicable law.

5. AI-generated outputs

Responses produced by the Service are generated by artificial intelligence and may be inaccurate, incomplete, or outdated. You are solely responsible for reviewing outputs before relying on them, especially for legal, medical, financial, or safety-critical decisions. The Service does not constitute professional advice.

6. Widget and end users

When you embed the Jibu AI widget on your properties, you are responsible for your relationship with your visitors, including any privacy notices, terms, and consents required in your jurisdiction. You must not misrepresent the widget as human support when it is automated AI assistance.

7. Fees and payment

Certain features may require paid plans. Fees, billing cycles, and refund policies will be communicated at the time of purchase. Failure to pay applicable fees may result in suspension of your account or projects.

8. Intellectual property

The Service, including its software, branding, and documentation, is owned by PayHero Kenya and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or proprietary technology except as needed to use the Service as intended.

9. Disclaimer of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI OUTPUTS WILL BE ACCURATE.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYHERO KENYA AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS (USD $100), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless PayHero Kenya from claims, damages, and expenses arising from Your Content, your use of the Service, or your violation of these Terms or applicable law.

12. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, pose a security risk, or if required by law. Upon termination, your right to use the Service ceases; provisions that by nature should survive will remain in effect.

13. Governing law

These Terms are governed by the laws of the Republic of Kenya, without regard to conflict-of-law principles. Disputes shall be subject to the exclusive jurisdiction of the courts of Kenya, unless otherwise required by mandatory local law.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted on this page with an updated date. Your continued use after changes take effect constitutes acceptance of the revised Terms.
